Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "Customer") and Quincy Hutchison, an individual sole proprietor located in Ghana, operating the ReplyBird service ("ReplyBird", "we", "us") at replybird.app. By creating an account or using the service, you agree to these Terms.
1. The Service
ReplyBird connects to your Gmail account, categorizes inbound emails, drafts replies in your voice using AI, and (when you enable it) sends those replies automatically. The full set of features is described at replybird.app and may change over time.
2. Account, eligibility, and acceptable use
You must be at least 16 years old and capable of forming a binding contract under the laws of your jurisdiction. You are responsible for all activity on your account and for keeping credentials secure. You agree to use the Service in compliance with our Acceptable Use Policy and all applicable laws.
3. AI-assisted output
ReplyBird uses third-party language models to generate draft and auto-sent replies. AI output can be inaccurate, incomplete, or contextually wrong. You are responsible for every email sent from your account, including replies the Service sends on your behalf in auto-send mode. We provide safety rails (confidence threshold, rate limit, loop guard, manual-reply detection, category controls, delay window), but you must configure and supervise these features.
4. Your data
You retain all rights to data you provide and to Gmail content we process on your behalf. You grant us a limited license to process that data solely to provide the Service to you, in accordance with the Privacy Policy. We will not train general-purpose AI models on your data.
5. Fees and billing
Subscriptions are processed by LemonSqueezy as Merchant of Record. Pricing is shown at signup. Subscriptions renew automatically until canceled. You may cancel at any time from the billing portal; cancellation takes effect at the end of the current paid period.
5.1 Trial
If we offer a free trial, you must cancel before the trial ends to avoid being charged. Trial duration is shown at signup.
5.2 Refunds
Within 14 days of your first paid charge, you may request a refund by emailing legal@replybird.app. After 14 days, fees are non-refundable except where required by law.
5.3 Taxes
Listed prices may exclude taxes. LemonSqueezy collects and remits applicable VAT, GST, and sales taxes based on your billing location.
6. Suspension and termination
We may suspend or terminate your account for material breach of these Terms or the Acceptable Use Policy, for non-payment, or if required to comply with law. You may terminate by canceling your subscription and deleting your account. Sections that should survive termination (data, indemnity, liability, dispute resolution) will survive.
7. Warranties and disclaimer
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI-generated output will be accurate, appropriate, or free of errors, and we do not warrant that the Service will be uninterrupted or error-free.
8. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our aggregate liability under these Terms will not exceed the greater of (a) the fees you paid us in the twelve months before the event giving rise to the claim, or (b) USD 100. Some jurisdictions do not allow these limitations; in those, our liability is limited to the smallest amount permitted by law.
9. Indemnification
You will defend, indemnify, and hold us harmless from third-party claims arising out of your misuse of the Service, your content, or your breach of these Terms.
10. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a corporate reorganization, the incorporation of a successor operating entity (such as Voltari, Inc.), or a sale of substantially all our assets, without your consent. Notice of any such assignment will be posted on this page.
11. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
11.1 Binding arbitration
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in Wilmington, Delaware. The arbitrator's decision will be final and enforceable in any court of competent jurisdiction. Each party bears its own costs unless the rules provide otherwise.
11.2 Class action waiver
To the maximum extent permitted by law, you and we waive the right to participate in any class action, collective action, or representative proceeding against the other.
11.3 Carve-outs
Notwithstanding the above, either party may seek injunctive relief in a court of competent jurisdiction for misuse of intellectual property. Where you are a consumer resident in the European Economic Area, United Kingdom, or another jurisdiction whose mandatory consumer protection laws grant you rights you cannot contractually waive, those rights apply.
12. Changes to these Terms
We may update these Terms. Material changes will be posted here with a new effective date and announced by email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
